1. Scope

These Terms and Conditions of Sale (“T&C of Sale”) apply to all transactions conducted through the website https://ascentistechnologies.com (the “Website”). By placing an order, you agree to comply with these terms.

3. Pricing, Quotes, and Payment Terms

3.1. Quote (Devis) Validity and Modifications

Quotes are valid for 15 days (2 weeks) from the date of issue.
Once a quote is accepted, any requested modifications require cancellation of the previous quote and issuance of a new one.

3.2. Deposit & Payment Schedule

A 30% deposit is required to validate a quote.
The deposit is refundable only if no fees have been engaged and the project is canceled.
The remaining 70% is due upon project delivery, unless different payment conditions are agreed upon directly with the client.

3.3. Late Payment Policy

In case of late payment, interest will be charged at three (3) times the French legal interest rate for late payments.
Any additional collection costs will be borne by the client.

4. Use of Subcontractors and Third-Party Tools

ASCENTIS TECHNOLOGIES reserves the right to engage third-party subcontractors to fulfill services while remaining solely responsible for service quality and delivery.
If ASCENTIS TECHNOLOGIES uses third-party tools or software, the company is not liable for any failures caused by such third-party services.
All subcontractors engaged by ASCENTIS TECHNOLOGIES are bound by confidentiality agreements.

5. Cancellations and Project Delays

5.1. Cancellation Policy

Once a quote is accepted, cancellation is no longer possible.
If the client cancels the project after work has started, the deposit is retained if fees have already been engaged.

5.2. Project Delays Caused by Client

If the client causes a delay, there are no additional fees, but the delay must remain reasonable based on the project size.

6. Service Guarantees and Liability

6.1. Quality Guarantee

ASCENTIS TECHNOLOGIES guarantees that all services will be delivered according to industry standards and best practices.

6.2. Limitation of Liability

ASCENTIS TECHNOLOGIES shall not be held responsible for any indirect, incidental, or consequential damages resulting from the use of its services.
The company’s total liability shall not exceed the amount paid by the client for the service in question.
ASCENTIS TECHNOLOGIES is not liable for any issues arising from third-party software failures used within the project.

6.3. Client Misuse of Work

If the client misuses the work delivered (e.g., improper implementation, unauthorized alterations), ASCENTIS TECHNOLOGIES is not liable for any resulting damages.

7. Confidentiality

ASCENTIS TECHNOLOGIES and its subcontractors shall keep all client information confidential and will not disclose it to third parties without prior consent.
The client agrees to maintain confidentiality regarding any proprietary information shared by ASCENTIS TECHNOLOGIES.

8. Dispute Resolution and Governing Law

8.1. Amicable Resolution Before Legal Action

In case of disputes, both parties agree to seek an amicable resolution before resorting to legal proceedings.

8.2. Mediation Before Court Action

If an amicable resolution is not reached, the parties agree to attempt mediation via a recognized mediation association before initiating legal action.

8.3. Governing Law & Jurisdiction

These Terms and Conditions of Sale are governed by French law.
Any disputes shall be subject to the exclusive jurisdiction of the courts in Paris, France.
